1. Introduction and Acceptance

Welcome to EximpCore - Trading ("EximpCore," "we," "us," or "our"). These Terms of Service ("Terms") govern access to and use of our website, applications, business workspaces, and related services (collectively, the "Services").

By registering for an account, subscribing to a plan, or accessing the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you confirm that you have authority to accept these Terms on its behalf. If you do not agree, you should not use the Services.

Our Privacy Policy describes how we handle personal information. Additional terms may apply to specific features or paid plans where clearly disclosed before use or purchase.

2. Who May Use EximpCore

EximpCore is intended primarily for professional and business use by importers, exporters, traders, agents, shop operators, and other business owners or their authorized personnel.

You must be at least 18 years old, or the age of legal majority applicable to you, and legally able to enter into an agreement.

You agree to provide accurate account information and to use the Services only for lawful business purposes.

3. Description of the Services

EximpCore provides digital tools intended to assist with business administration, trade records, buyer and supplier information, products, transactions, documentation, and collaboration.

Features available to you depend on your plan and the current functionality of the platform.

EximpCore is a software platform, not a bank, payment institution, customs authority, freight forwarder, legal adviser, or professional accounting service.

Using EximpCore does not replace independent review of invoices, contracts, customs documents, regulatory requirements, or other business decisions. You remain responsible for checking the accuracy and legality of records and documents you create or use.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials and for activities carried out through your account, except where those activities result from circumstances for which EximpCore is legally responsible.

You agree to:

Maintain accurate and current account information.
Protect your login credentials.
Use available security features.
Notify us promptly about suspected unauthorized access.
Avoid sharing credentials with unauthorized persons.

We may request reasonable verification before processing account-sensitive requests.

5. Workspaces, Teams, and Permissions

Where team or multi-user features are available, workspace owners and administrators are responsible for managing authorized users, permissions, and access.

Authorized team members may access or modify workspace information according to their assigned permissions.

You are responsible for ensuring that workspace information and team access comply with applicable confidentiality, privacy, employment, and legal obligations.

6. Your Business Data and Content

"Customer Content" includes business information, records, files, documents, and other materials submitted to or created through the Services.

You retain ownership of your Customer Content, subject to third-party rights.

You grant EximpCore a limited, non-exclusive right to process, store, transmit, display, and otherwise handle Customer Content only as reasonably necessary to provide, maintain, secure, and support the Services, or as otherwise authorized or legally required.

You confirm that you have the necessary rights to provide such information.

EximpCore does not acquire ownership of your buyers, suppliers, invoices, business documents, or other Customer Content merely because you use the platform.

7. Acceptable Use

You agree not to use EximpCore to:

Engage in unlawful or fraudulent activities.
Violate applicable trade restrictions, sanctions, or other legal obligations.
Upload malicious or infringing content.
Attempt unauthorized access to accounts or systems.
Disrupt platform operations or security controls.
Misrepresent business transactions or documents.
Disclose confidential information without authorization.
Reverse engineer the platform except where legally permitted.
Resell or sublicense platform access without authorization.

We may investigate suspected misuse and take proportionate action where reasonably necessary.

8. Google Drive, Google Sheets, and Other Integrations

EximpCore may provide optional integrations with Google Drive, Google Sheets, and other third-party services.

Integrations are available only where supported and authorized by you.

When connecting a third-party service, you authorize EximpCore to perform selected integration functions within the permissions granted.

You remain subject to the relevant third-party terms and policies.

You may revoke Google account access through your Google account's third-party connection settings.

Disconnecting an integration does not necessarily delete information previously transferred to or stored within EximpCore.

Google-connected data is handled according to our Privacy Policy and applicable Google API Services policies.

EximpCore does not sell Google API user data or use it for advertising or training generalized AI models.

Important: Connecting Google Drive or Google Sheets does not automatically mean that all workspace records are backed up, synchronized, or recoverable through Google.

Backup, synchronization, export, and recovery capabilities apply only where those functions are expressly available.

9. Plans, Prices, and Subscriptions

Certain EximpCore features may require a paid subscription.

Subscription pricing, billing frequency, currency, included features, and applicable additional charges will be disclosed during registration or checkout.

By purchasing a recurring subscription and authorizing payment, you agree to the disclosed recurring billing arrangement until cancellation.

Subscription prices and features may change. Where required by law, changes affecting existing subscriptions will be communicated in advance.

Payments may be processed through authorized third-party payment service providers.

10. Cancellation, Refunds, and Payment Issues

You may request cancellation through any available account subscription-management feature or by contacting info@eximpcore.com.

Please provide the email address associated with your subscription so that we can identify your account.

We will confirm when the cancellation has been processed.

Unless applicable law or checkout terms provide otherwise, cancellation prevents future renewals, while paid access may remain available until the end of the current billing period.

Refund eligibility is determined by the terms disclosed during purchase and any applicable legal rights.

Cancellation of a subscription does not automatically delete your account or workspace information.

Continued payment failure may result in restriction or suspension of paid features, subject to applicable notice requirements.

11. Service Availability and Maintenance

We aim to maintain reliable platform services but cannot guarantee uninterrupted or error-free availability.

Temporary interruptions may occur because of:

Maintenance and software updates.
Network or infrastructure issues.
Security incidents.
Technical faults.
Third-party service interruptions.
Circumstances outside our reasonable control.

We may update, improve, or modify features periodically.

Where changes materially affect paid features, appropriate notice and legally required remedies will be provided.

Users should retain independent copies of important business records where appropriate.

12. Intellectual Property

EximpCore's software, design, branding, website content, and associated intellectual property belong to EximpCore or its licensors, excluding Customer Content and third-party materials.

Subject to these Terms, users receive a limited, non-exclusive, non-transferable right to access the platform for authorized business purposes.

Users may not reproduce, distribute, resell, or misuse EximpCore's proprietary materials without permission, except where permitted by law.

13. Confidentiality and Privacy

We recognize that business records may contain sensitive commercial information.

EximpCore will process Customer Content only as necessary to provide and support the Services, as authorized, or as required by law, consistent with its Privacy Policy and contractual obligations.

Users are responsible for maintaining the confidentiality of information belonging to their organizations and third parties.

Personal information is processed according to our Privacy Policy.

14. Suspension, Termination, and Data Access

Users may discontinue use of EximpCore at any time.

We may restrict, suspend, or terminate access where reasonably necessary due to serious violations of these Terms, unlawful activity, security threats, payment failure, or legal requirements.

Where reasonably practicable and lawful, we will provide notice and an opportunity to resolve the issue.

After termination, access to account features and workspace information may end.

Before closing your account, use any available export feature or contact support about retrieving eligible information.

Data retention and deletion are governed by the Privacy Policy and applicable law.

15. Disclaimers

EximpCore provides digital tools designed to support business operations.

Software-generated information, calculations, documents, and third-party integrations may contain errors or require verification.

Users remain responsible for reviewing important commercial, financial, shipping, tax, and compliance information.

Except for warranties that cannot legally be excluded, EximpCore does not guarantee a particular commercial outcome, regulatory approval, trade result, or continuous availability.

16. Limitation of Liability

To the extent permitted by applicable law, EximpCore is not liable for indirect or consequential losses, including lost profits or business opportunities, where such limitations are lawful and enforceable.

Nothing in these Terms excludes liability for fraud, intentional misconduct, or other matters that cannot legally be excluded.

Mandatory statutory rights and remedies remain unaffected.

17. Changes to These Terms

EximpCore may update these Terms to reflect changes in its Services, business operations, or applicable legal requirements.

Updated Terms will be published on the website with a revised "Last Updated" date.

Material changes affecting existing users will be communicated with reasonable notice, and additional consent will be obtained where legally required.

Users who disagree with updated Terms may stop using the Services and cancel any active subscription.

18. Disputes and Applicable Law

If a dispute arises, users are encouraged to contact EximpCore first to seek an informal resolution.

Disputes that cannot be resolved informally will be handled under applicable law by a court with appropriate jurisdiction.

Nothing in these Terms removes mandatory legal protections or access to courts that cannot legally be waived.
